Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you (whether personally or on behalf of an entity, "Client", "you") and Luminoz Web Agency ("Luminoz", "we", "us", or "our"), concerning your access to and use of our website (luminoz.org) as well as all digital design and web development services provided by us.

By commissioning a project, submitting a request through our contact forms, or approving a project proposal with Luminoz, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms of Service.

Services & Project Scope

Luminoz specializes in providing high-performance website design, custom web engineering, mobile optimization, and local search visibility services for small and medium-sized enterprises.

The specific scope of work, features, and timeline for each client project are determined by the selected tier (such as the Business Plan or Growth Plan) as outlined on our Pricing Page or in a written project proposal.

  • Any requested features outside the agreed project scope (e.g., custom web application backend development, complex CRM database integrations, or ongoing multi-channel marketing campaigns) will be quoted separately.
  • We do not build sites that promote unlawful activities, deceptive practices, or infringing content.

The 'Pay Only If You Like The Design' Model

Luminoz operates on an upfront risk-free model designed to provide confidence to business owners:

Concept Review Without Upfront Deposit

We create your initial custom design draft and present it to you on a secure staging link. If you are not satisfied with the creative direction and choose not to move forward, you may terminate the project with zero payment owed.

Upon your formal approval of the preview concept, an invoice for the agreed project fee is issued. Final technical production, custom domain deployment, and full code handover occur upon settlement of the invoice.

Client Responsibilities & Assets

To ensure timely delivery and exceptional quality, the Client agrees to:

  • Provide relevant business materials in a timely manner (such as brand logos, official business hours, accurate contact details, service descriptions, and any high-resolution photos you wish to feature).
  • Confirm that you hold all necessary legal rights, copyrights, and licenses for any text, imagery, or trademarks supplied to Luminoz for inclusion in the website.
  • Review staging previews and submit consolidation feedback in reasonable timeframes.

Intellectual Property & Ownership

We believe you should truly own your online presence:

  • Full Ownership Upon Settlement: Once full payment for your website project has been received, all custom design files, compiled website code, text copy created for your site, and graphical layouts transfer to your 100% complete ownership.
  • Pre-Approval Drafts: If a project is cancelled prior to design approval and payment, Luminoz retains all rights and ownership to the draft concepts, and the Client may not use or replicate the concepts.
  • Portfolio Rights: Unless otherwise agreed in writing, Luminoz reserves the standard right to showcase the completed website in our agency portfolio and marketing case studies.

Hosting, Domains & Third Parties

Modern websites rely on cloud infrastructure, domain registries, and third-party tools:

  • Domain Ownership: Clients retain 100% control of their domain name registrations. We will assist you in configuring the DNS records to point to your new site.
  • Third-Party Services: Luminoz connects third-party services as needed (e.g., Google Analytics, Web3Forms, Map embeds, CDN hosting). Luminoz is not liable for disruptions, downtime, or policy changes originated directly by third-party cloud infrastructure providers.

Warranties & Limitation of Liability

Luminoz provides our digital services using industry-standard engineering best practices, modern web frameworks, and clean code architectures.

To the maximum extent permitted by applicable law, Luminoz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or business data resulting from third-party hosting server outages, cyberattacks, or client modifications made to codebases post-handover.

Our maximum cumulative liability under any circumstance arising from our services shall be strictly capped at the total amount paid by the Client to Luminoz for the specific project in question.

Termination & Governing Law

Either party may terminate the project at any time during the preview phase prior to invoice payment without penalty. Following invoice payment and project completion, these terms continue to govern intellectual property ownership, confidentiality, and liability limitations.

These Terms of Service shall be governed by and construed in accordance with applicable laws, without regard to its conflict of law principles.
